1. Introduction

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services operated by Dimetryx Ltd ("Dimetryx," "we," "us," or "our").

By accessing or using our website or services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use our services.

2. Scope of Services

Dimetryx Ltd provides digital and AI-driven software solutions for the construction industry, including:

  • AedisPro – an AI-powered quantity-take-off and measurement platform.
  • Cloud hosting and analytics via Microsoft Azure.
  • Secure authentication through Auth0.
  • Online payments managed by Stripe.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a contract.

By registering, you confirm all information is accurate and that you have authority to act on behalf of your organisation, if applicable.

4. Account Registration and Security

  • Access to most Dimetryx services requires an account created via Auth0.
  • You are responsible for keeping credentials confidential and for all activities under your account.
  • Notify us immediately of any unauthorised access.
  • We are not liable for loss resulting from such use.

5. Acceptable Use

You agree not to:

  • Use our services for unlawful or fraudulent purposes.
  • Upload or distribute harmful code or content.
  • Interfere with service integrity or security.
  • Reverse-engineer or modify any Dimetryx software.
  • Misuse others' data or intellectual property.

Violation may result in account suspension or termination.

6. Payments and Subscriptions

6.1 Payment Processing

All payments are processed securely via Stripe. We do not store full card details.

6.2 Subscription Plans

  • Subscription fees (Core, Plus, Enterprise etc.) are charged according to published rates.
  • Recurring billing applies unless cancelled before the renewal date.
  • Taxes and currency conversions may apply.

6.3 Refunds

All payments are non-refundable unless required by law or stated otherwise in writing.

7. Data Collection and AI Model Training

By using our services, you acknowledge that documents and project data you upload may be processed and used to train and improve AI models.

  • Data may be anonymised where possible.
  • Users cannot opt out of such processing at this time.
  • You retain ownership of your content but grant Dimetryx Ltd a world-wide, non-exclusive, royalty-free licence to use, analyse, and process it for AI optimisation.

8. Intellectual Property

  • All software, source code, designs, algorithms, and trademarks are owned by Dimetryx Ltd or its licensors.
  • You may not reproduce, distribute, or modify any part of our intellectual property without prior written consent.
  • Your uploaded content remains yours, subject to the licence in §7.

9. AI-Generated Content Disclaimer

Our software may generate or assist in generating content using artificial intelligence. While we strive for accuracy, AI-generated outputs may contain errors, approximations, or omissions.

You agree that:

  • Outputs are for reference only.
  • You are solely responsible for verifying all AI results before use.
  • Dimetryx Ltd is not liable for losses or damages resulting from reliance on AI-generated information.

10. Service Availability

  • We aim for high uptime but cannot guarantee uninterrupted access.
  • Outages may occur due to maintenance, network issues, or force-majeure events.
  • Dimetryx Ltd shall not be liable for data loss, revenue loss, or business interruption caused by such events.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Dimetryx Ltd and its affiliates shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or goodwill.
  • Aggregate liability under these Terms shall not exceed the total fees paid by you in the six (6) months preceding the claim.
  • This limitation applies even if we were advised of possible damages.

12. Indemnification

You agree to indemnify and hold harmless Dimetryx Ltd, its employees, and partners from any claims, losses, or expenses arising out of:

  • Your misuse of our services,
  • Your breach of these Terms, or
  • Any data or content you upload or process.

13. Termination

We may suspend or terminate your account immediately if you:

  • Violate these Terms,
  • Engage in unlawful conduct, or
  • Pose security or operational risk.

Upon termination, all rights to access the services cease. We may retain certain data as required by law or for legitimate business purposes.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Manchester, UK.

15. Changes to These Terms

We may modify these Terms periodically.

Revisions take effect upon posting the updated version on our website.

Continued use of our services constitutes acceptance of the updated Terms.

17. AedisPro Service-Specific Terms

The following terms apply specifically to AedisPro, Dimetryx Ltd's AI-powered take-off and measurement platform.

17.1 Purpose and Functionality

AedisPro assists users in performing digital quantity take-offs, cost estimation, and construction analysis through automated and AI-driven tools hosted on Microsoft Azure.

17.2 Project Data Ownership

  • You retain full ownership of project data, drawings, and take-off records you upload.
  • Dimetryx Ltd does not claim ownership over your original project data.
  • However, you grant Dimetryx Ltd a limited licence to process, analyse, and store such data for service delivery, AI optimisation, and internal performance benchmarking.

17.3 Accuracy and Verification of AI Outputs

  • AI-generated measurements, take-offs, or quantity summaries are automated predictions, not verified engineering results.
  • All outputs must be independently reviewed, validated, and approved by qualified professionals before use in tender submissions, construction, or procurement.
  • Dimetryx Ltd provides the tools "as is", without warranties of accuracy or completeness.
  • Users assume full responsibility for verifying all calculations and derived quantities.

17.4 Non-Liability for Project Outcomes

Dimetryx Ltd shall not be liable for:

  • Errors, miscalculations, or omissions in AI-generated or user-input data;
  • Consequential losses, tender rejections, or construction defects arising from unverified outputs;
  • Any professional, contractual, or commercial decisions based on AedisPro results.

17.5 Data Storage and Security

  • Project data is securely hosted on Microsoft Azure under enterprise-grade encryption.
  • Users are responsible for maintaining proper backups of their exported results.
  • Dimetryx Ltd reserves the right to archive or delete inactive projects after reasonable notice.

17.6 Service Integration and Third-Party Dependencies

AedisPro relies on integrations with third-party providers such as Auth0 (for identity) and Stripe (for billing).

Use of these integrations is also subject to the providers' respective terms and policies.

17.7 Suspension or Termination of AedisPro Accounts

Dimetryx Ltd may suspend or restrict AedisPro access in case of non-payment, misuse, or legal obligation.

Upon termination, we may retain anonymised usage data to improve AI performance.

17.8 Feedback and Improvements

Any suggestions, feedback, or feature ideas submitted by users become the property of Dimetryx Ltd, which may use them freely without compensation or attribution.

18. Entire Agreement

These Terms, together with our Privacy Policy and any Service-Specific Addenda (including AedisPro), constitute the entire agreement between you and Dimetryx Ltd.

They supersede all prior agreements, representations, or understandings relating to our services.
